That's true that average share holders can't nominate board members. however, they can vote no. if majority share holders do that, it could happen. I will still think that most share holders just rubber stamp the proxy and not exersize their rights.
I receive proxy vote request all the time but never voted once. Why? It's not worth the time and effort for a small share holder like me. Like I said before, often times, the CEO pay only accounts for no more than 1% of the company profit. And unlike Presidential election, which has wider ramifications, the CEO pay is just about money, and very small money to me. So I will let the big whales worry about that. |
